1. Who we are

Tenderiser is operated by Agentic d.o.o., Dunajska cesta 20, Ljubljana, Slovenia (EU). These Terms govern your access to the Tenderiser website, the Excel Add-in, any SaaS features, and any on-premise deployment we provide to you. Where these Terms conflict with a separate order form or agreement signed between you and Agentic d.o.o., the order form takes precedence.

2. Accepting these terms

Using the Tenderiser website or service means you accept these Terms. If you are accepting on behalf of a company, you confirm that you have the authority to do so on behalf of that company.

3. What the service does

Tenderiser is software that matches free-text tender line items against a product catalogue you provide, using machine-learning models. It is delivered as a Microsoft Excel Add-in backed by a SaaS service hosted in the European Union, or as an on-premise deployment running on infrastructure you control.

4. Your account

  • check_circle Keep your login credentials secure and tell us immediately if they are compromised.
  • check_circle Provide accurate information when you contact us or register.
  • check_circle Do not upload content you don't have the right to upload (for example, third-party catalogues you are not licensed to use, or confidential documents you are not allowed to share).
  • check_circle Do not attempt to reverse-engineer, scrape, or otherwise abuse the service.
  • check_circle Comply with applicable laws when using the service.

5. Your data

  • Ownership. You own your catalogue data, your tender content, and any outputs generated from them. Nothing in these Terms transfers ownership to us.
  • Licence to us. You grant Agentic d.o.o. a limited, non-exclusive licence to process your data solely for the purpose of providing the service to you — storing it, running matches on it, returning results to you, and supporting you.
  • No training on your data. We do not use your catalogue or tender content to train shared models.
  • Privacy. How we handle personal data is described in the Privacy Policy.

6. AI output — advisory only

Tenderiser uses machine-learning models to suggest matches between tender line items and your catalogue. These suggestions are advisory. They can be wrong, incomplete, or out of date. Before you use a match in a bid, a contract, or any decision with legal or financial consequences, review it. Agentic d.o.o. does not guarantee the accuracy of any specific match, and does not guarantee any bid outcome based on suggestions produced by the service.

7. Availability

We aim to keep the SaaS service available during normal business hours, and to give advance notice of planned maintenance where possible. Unless we have agreed a specific service level in a separate order form, the service is provided without a guaranteed service level.

8. Fees

Fees, billing cadence, and included usage are set out in your order form or the quote we send you. Unless agreed otherwise, fees are payable in EUR and are exclusive of VAT. Unpaid invoices may result in suspension of the service after reasonable notice and a chance to cure.

9. Intellectual property

The Tenderiser software, website, brand, documentation, and any models we build remain the property of Agentic d.o.o. and its licensors. We grant you a non-exclusive, non-transferable right to use the service during your subscription term for your internal business purposes. For on-premise deployments, the licence scope is set out in your order form; any open-source components are covered by their own licences, which we will list in the deployment documentation.

10. Confidentiality

Information we share with each other that is non-public and marked or clearly confidential stays confidential. Each party will use the other party's confidential information only to provide and use the service, and for as long as needed for that purpose.

11. Warranties and liability

To the extent permitted by law, the service is provided "as is" and we make no warranty that it will be error-free or meet every specific requirement you may have.

Our total liability to you for any claim relating to the service is limited to the fees you paid us in the twelve months before the claim arose. This limit does not apply where it cannot under applicable law (for example, for gross negligence, wilful misconduct, or breaches of mandatory consumer law).

12. Termination

Either party may terminate with reasonable written notice. We may suspend or terminate immediately if you materially breach these Terms, fail to pay after notice, or use the service unlawfully. On termination we delete your catalogue and tender data within 30 days, except where we are required to keep records for longer under Slovenian law.

13. Changes to these terms

If we change these Terms materially, we will update the "Last updated" date at the top and notify customers with active contracts before the change takes effect. Continued use after the effective date means you accept the new Terms.

14. Governing law

These Terms are governed by the laws of the Republic of Slovenia, without regard to conflict-of-laws principles. Any dispute arising from these Terms or from your use of the service will be brought before the competent courts of Ljubljana, Slovenia — unless mandatory consumer-protection law gives you another forum.
